Introduction
These Terms and Conditions, together with any policies, product terms, order forms, checkout notices, plan terms, privacy notices, data processing terms, fair use rules, content rules, payment terms, and other documents referenced by BlackSheet, govern access to and use of the BlackSheet Platform.
When we say BlackSheet, we, us, or our, we mean the BlackSheet company, brand, website, product, and team operating blacksheet.io and related services. When we say Platform, we mean blacksheet.io, BlackSheet subdomains, product interfaces, dashboards, web applications, pages, forms, checkout flows, communities, automations, email tools, APIs, support channels, mobile or desktop experiences, and any other services owned, managed, or operated by BlackSheet.
When we say you or User, we mean the person or entity accessing the Platform. If you use BlackSheet on behalf of a company, employer, organization, creator brand, school, agency, or other entity, you represent that you have authority to bind that entity to these Terms.
By accessing or using the Platform in any manner, you agree to these Terms. If you do not agree, you must not access or use the Platform.
1. Services Provided by BlackSheet
1.1 The BlackSheet Platform
BlackSheet provides creator-business infrastructure for creators, coaches, educators, experts, entrepreneurs, and businesses to build, publish, sell, manage, and deliver digital products and services. The Platform may include tools for courses, digital products, downloads, memberships, communities, newsletters, websites, landing pages, funnels, email marketing, offers, checkout flows, payments, automations, customer records, analytics, admin workflows, and related services.
BlackSheet may add, modify, remove, rename, limit, or improve features over time. Some features may be in early access, beta, preview, waitlist, invite-only, experimental, or coming-soon status.
1.2 Creator and customer relationships
BlackSheet provides technical infrastructure. Creators are responsible for the products, services, content, offers, pricing, claims, promises, support, refunds, community activity, and customer relationships they create through the Platform.
Unless BlackSheet expressly states otherwise, BlackSheet is not a party to the agreement between a creator and the creator's customer, buyer, member, student, subscriber, client, or community participant. BlackSheet does not control, endorse, certify, or guarantee Creator Content, creator outcomes, creator services, or customer results.
Customers should review the creator's product description, refund policy, support terms, delivery terms, and business details before purchasing or joining a creator offering.
1.3 Platform communications
BlackSheet may communicate directly with users for operational, support, compliance, billing, legal, product, security, marketing, launch, and legitimate business purposes. These communications do not make BlackSheet responsible for a creator's content or customer experience except where expressly required by law or these Terms.
2. Eligibility and Account Terms
2.1 Age of access
You must be at least 18 years old to create a creator account, purchase a business plan, or use BlackSheet for commercial purposes. If you are between 13 and 18, you may use the Platform only with permission from a parent or legal guardian. Children under 13 may not use the Platform or register an account.
2.2 Restricted users and locations
You may not use the Platform if applicable law prohibits you from receiving BlackSheet services, if you are subject to sanctions or restricted-party lists, or if your location, business, activity, or payment method is restricted by law, payment providers, or BlackSheet policy.
2.3 User accounts
To use certain features, you may need to create an account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
2.4 Creator accounts and primary owners
A creator account is controlled by the person or entity designated as the primary owner. The primary owner is responsible for workspace settings, billing, content, customer data, team permissions, integrations, products, offers, communications, and all activity inside the account.
2.5 Admin users and team access
Depending on your plan, you may invite team members, contractors, admins, or collaborators. The primary owner is responsible for assigning permissions carefully and for all acts, omissions, mistakes, and defaults caused by users invited into the workspace.
2.6 Account ownership disputes
If there is a dispute over account ownership, BlackSheet may request information to help determine control of the account. This may include identification, business documents, billing records, domain records, tax documents, account history, email ownership, or other information we consider relevant. BlackSheet may decide account ownership in its reasonable judgment unless prohibited by law.
3. Code of Conduct
Users must use BlackSheet lawfully, honestly, and respectfully. BlackSheet may remove content, restrict features, suspend accounts, terminate access, or take other action if conduct violates these Terms or creates risk for the Platform, users, creators, customers, or the public.
3.1 No illegal activity
You may not use the Platform for any activity that violates applicable law, regulation, court order, sanctions requirement, export rule, consumer protection law, privacy law, tax law, intellectual property law, or payment rule.
3.2 No fraud or deception
You may not use BlackSheet to mislead users, fake identity, misrepresent products, create deceptive checkout flows, manipulate billing, abuse refunds, conceal ownership, submit false information, or conduct fraudulent activity.
3.3 No harmful technical activity
You may not upload or transmit viruses, malware, destructive code, scripts, worms, bots, scraping systems, credential theft tools, or anything designed to damage, disrupt, overload, access, or misuse the Platform or another user's systems.
3.4 No spam
You may not use BlackSheet to send spam, unsolicited bulk messages, misleading campaigns, abusive outreach, or communications that violate anti-spam, privacy, or marketing laws.
3.5 Be civil
You may not harass, threaten, abuse, exploit, dox, defame, impersonate, or target other users, customers, creators, team members, or BlackSheet staff.
3.6 No data misuse
You may not collect, scrape, buy, sell, expose, or misuse personal data except as permitted by law and these Terms. Creators must use customer data only for lawful business purposes connected to their products and services.
3.7 No prohibited content
You may not use the Platform for content that is unlawful, exploitative, hateful, violent, predatory, pornographic, defamatory, deceptive, invasive, abusive, or otherwise objectionable as determined by BlackSheet in its discretion.
4. Intellectual Property and Your Data
4.1 What BlackSheet owns
BlackSheet owns or licenses the Platform, including software, code, systems, product design, databases, interfaces, workflows, branding, logos, marks, visual design, documentation, text, graphics, templates, and other BlackSheet materials. These materials are protected by intellectual property laws.
Subject to your compliance with these Terms, BlackSheet grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Platform for your personal or business purposes.
You may not copy, modify, reverse engineer, decompile, disassemble, resell, sublicense, rent, lease, exploit, circumvent, disable security features, or use the Platform to build a competing service without written permission from BlackSheet.
4.2 What you own
You retain ownership of content, data, products, pages, lessons, downloads, posts, media, files, messages, forms, customer records, and other materials you create, upload, submit, import, or transmit through the Platform, subject to rights you grant BlackSheet to operate the Platform.
By using BlackSheet, you grant BlackSheet a worldwide, non-exclusive, royalty-free license to host, store, display, transmit, process, reproduce, adapt, and use your content and data as needed to provide, secure, support, improve, and operate the Platform.
4.3 Posts and public content
If you submit public posts, comments, testimonials, reviews, community contributions, public resources, or similar content intended for public or community viewing, you grant BlackSheet the right to display and use that content for Platform operation, community features, moderation, support, and related purposes.
4.4 Third-party rights
You represent that you own or have the rights, licenses, permissions, and consents needed for all content, data, media, trademarks, images, videos, templates, documents, customer information, and materials you use on BlackSheet.
4.5 Feedback
If you send ideas, suggestions, feature requests, bug reports, or feedback, BlackSheet may use them without restriction or compensation. Do not submit feedback if you want to keep exclusive rights in it.
4.6 Data responsibilities
Creators are responsible for the personal data they collect from customers, buyers, members, students, subscribers, and leads. Creators must provide appropriate privacy notices, honor applicable privacy rights, and use data lawfully.
5. BlackSheet Platform Rights
BlackSheet may modify, suspend, discontinue, limit, or refuse access to any feature, account, workspace, content, or service at any time where needed for security, compliance, product development, business operations, legal reasons, risk control, or violations of these Terms.
BlackSheet may access accounts, workspaces, content, and logs when needed to provide support, investigate issues, maintain security, prevent abuse, enforce terms, comply with law, or operate the Platform.
BlackSheet may monitor or review content and conduct, but has no obligation to do so. BlackSheet may remove users or content without warning if we believe these Terms have been violated or if continued access creates risk.
If an account is closed, deleted, or terminated, BlackSheet may retain copies of data where permitted or required for compliance, backups, accounting, dispute resolution, security, fraud prevention, or internal business purposes.
6. Intellectual Property Violations
6.1 Copyright complaints
If you believe content on BlackSheet infringes your copyright, contact us with enough information to identify the work, the allegedly infringing content, your contact details, and a statement that you believe the use is unauthorized. BlackSheet may remove or disable access to content that appears to infringe intellectual property rights.
If your content is removed because of a copyright complaint and you believe the removal was mistaken, you may send a counter notice with information supporting your position. BlackSheet may forward notices or counter notices to affected users where appropriate.
6.2 Trademark complaints
If you believe a user is infringing your trademark, contact us with the trademark registration or ownership details, the content at issue, and an explanation of the alleged infringement. BlackSheet may remove access to content, request more information, decline to act, or connect parties so they can resolve the dispute directly.
6.3 Repeat infringement
BlackSheet may suspend or terminate accounts that repeatedly infringe or repeatedly receive credible intellectual property complaints.
7. Third-Party Communications
Through BlackSheet, you may receive communications from creators, customers, members, subscribers, service providers, payment processors, or other third parties. BlackSheet is not responsible for third-party communications unless expressly required by law. You are responsible for evaluating the identity, accuracy, reliability, and trustworthiness of third-party communications.
8. Third-Party Offerings
8.1 Third-party products and services
The Platform may include links, integrations, content, offers, products, services, consultants, payment providers, AI providers, hosting providers, analytics tools, communication tools, or other third-party offerings. Your use of third-party offerings is at your own risk and may be governed by separate terms and privacy policies.
8.2 AI services
BlackSheet may provide AI-powered features directly or through third-party AI providers. AI features may generate drafts, outlines, text, suggestions, automations, or other outputs. You are responsible for reviewing AI outputs before relying on them, publishing them, sending them, or using them in your business.
AI outputs may be inaccurate, incomplete, similar to other content, or unsuitable for your use case. BlackSheet does not guarantee that AI outputs are correct, unique, legally compliant, or fit for a specific purpose.
8.3 Partner and expert resources
BlackSheet may publish information about third-party consultants, providers, partners, or experts as a resource. This does not guarantee their services, qualifications, reliability, or results. You are responsible for due diligence before hiring or engaging any third party.
8.4 Promotions
BlackSheet may offer promotions, contests, giveaways, founder access offers, discounts, or limited-time campaigns. Each promotion may have separate rules. BlackSheet may cancel, suspend, or modify promotions where permitted by law.
9. API and Developer Services
BlackSheet may provide APIs, webhooks, developer tools, integration keys, or technical interfaces that allow users to connect BlackSheet with other systems. Access may be limited by plan, approval, rate limits, security review, or product availability.
If API access is provided, you receive a limited, revocable, non-exclusive, non-transferable license to use the API only for permitted business purposes connected to your BlackSheet workspace. You must keep API keys secure and may not share them publicly or use them to bypass Platform limits.
You may not use APIs to scrape data, replicate BlackSheet, interfere with user settings, disable required notices, misrepresent identity, overload systems, violate privacy rights, or build applications that harm BlackSheet, users, creators, customers, or third parties.
BlackSheet may update, change, suspend, rate limit, charge for, or discontinue API access at any time. Updates may require changes to your applications at your own cost.
After termination of API access, BlackSheet may provide export options where technically available and legally permitted, but BlackSheet is not required to maintain API-accessible data indefinitely.
10. Payments
10.1 Platform payments
BlackSheet may support payments for plans, founder access, subscriptions, creator products, digital downloads, memberships, services, and related offerings. Payments may be processed by third-party payment providers. Payment providers are independent services with their own terms, fees, rules, and privacy practices.
10.2 Creator payments and collection
If BlackSheet offers payment tools for creators, a customer payment processed through BlackSheet-supported checkout may satisfy the customer's payment obligation to the creator when the payment is successfully received, subject to payment provider rules, fraud checks, refunds, chargebacks, disputes, reserves, and these Terms.
BlackSheet is not liable for creator acts, omissions, products, services, customer promises, delivery failures, or disputes merely because payment tools were used.
10.3 Third-party payment gateways
Creators may be able to connect third-party payment gateways. Creators are responsible for their payment provider accounts, payout settings, processor fees, tax obligations, refunds, chargebacks, author payments, affiliate payments, and compliance with the provider's terms.
10.4 Chargebacks, reserves, and negative balances
Payment providers, card networks, banks, or BlackSheet may impose reserves, holds, chargeback fees, dispute fees, payout delays, account reviews, or negative balance recovery where permitted. Creators are responsible for resolving negative balances, refunds, disputes, and fees connected to their transactions.
10.5 Financial products
Third-party payment or financial providers may offer financing, credit, payouts, advances, banking, or related financial products. BlackSheet is not a lender, bank, credit provider, or financial institution unless expressly stated. Your use of financial products is governed by the third-party provider's terms.
11. Taxes
Taxes on digital products, services, subscriptions, creator content, platform fees, and payment processing can be complex. You are responsible for understanding and satisfying your own tax obligations unless BlackSheet expressly states that it will calculate, collect, report, or remit a specific tax for a specific transaction.
BlackSheet may collect tax information such as legal name, billing address, tax identification number, country, state, province, business status, exemption documents, or transaction data where needed to operate the Platform or comply with law.
Where applicable law treats BlackSheet as an intermediary, platform, deemed supplier, marketplace facilitator, or similar tax collection party, BlackSheet may calculate, collect, report, or remit applicable taxes. BlackSheet may decide how to apply tax settings based on available information and applicable law.
Where creators use external payment gateways, sell off-platform, or configure offers outside BlackSheet-supported tax handling, creators are responsible for calculating, collecting, reporting, and remitting applicable taxes.
BlackSheet does not provide tax advice. You should consult your own tax adviser about tax obligations connected to your account, products, customers, location, transactions, subscriptions, and business model.
12. Subscription and Plan Fees
BlackSheet plans may be billed monthly, annually, one time, usage-based, custom, founder-lifetime, invite-only, or according to another pricing model shown at checkout, on an order form, or in a written agreement.
Paid plans may renew automatically unless canceled before the renewal date. You authorize BlackSheet and its payment providers to charge the payment method on file for applicable fees, taxes, usage fees, overages, add-ons, upgrades, renewals, and other amounts due.
BlackSheet may change plan pricing, usage limits, included features, transaction fees, payment terms, or plan names. For existing paid subscriptions, we will use reasonable efforts to provide notice of material price changes before they take effect.
If payment is not authorized, fails, is reversed, or becomes overdue, BlackSheet may suspend or restrict access until amounts are paid. BlackSheet may use lawful collection methods to recover unpaid amounts.
Custom plans, founder offers, lifetime plans, beta plans, enterprise plans, or special offers may include additional terms that override or supplement standard plan terms.
13. Pricing of Creator Content
Creators are responsible for setting prices, discounts, coupons, payment plans, bundles, access rules, refund policies, taxes, product descriptions, and offer terms for Creator Content unless a specific BlackSheet-managed offer states otherwise.
Creators must clearly describe what a customer is buying, what is included, what is not included, how access is delivered, whether renewals apply, whether refunds are available, and any material limitations before checkout.
14. Refund Policy
14.1 BlackSheet plan refunds
Refund terms for BlackSheet plans are shown at checkout, in plan terms, or in a written agreement. Unless a checkout page or written agreement states otherwise, fees for one-time founder access, lifetime plans, setup services, custom work, and discounted promotional offers may be non-refundable.
For recurring paid plans, cancellation generally stops future billing but does not automatically create a refund for the current billing period unless required by law or stated in the applicable plan terms.
14.2 Creator content refunds
Creators are responsible for establishing and communicating refund policies for their own products, courses, coaching, memberships, downloads, communities, subscriptions, services, and bundles. Customers should review the creator's refund terms before purchasing.
BlackSheet may process or assist with refunds where payment tools allow it, where a creator authorizes it, where required by law, or where BlackSheet believes fraud, abuse, duplicate billing, technical failure, or risk requires action.
14.3 Digital products and downloads
Digital downloads, templates, files, guides, and other instant-access products may be non-refundable once accessed or downloaded unless the creator's policy or applicable law provides otherwise.
14.4 Abuse of refunds
BlackSheet may refuse refunds, restrict accounts, or investigate activity where refund requests appear abusive, fraudulent, excessive, repetitive, or inconsistent with the product terms.
15. Cancellation and Deletion
15.1 Cancellation
If you cancel a paid subscription, cancellation generally becomes effective at the end of the current billing cycle unless the applicable plan terms say otherwise. After cancellation, paid features may be disabled and your workspace may be downgraded, locked, archived, or restricted.
15.2 Deletion
You may request deletion of your account where available and where permitted by law. BlackSheet may delete inactive, unpaid, abandoned, abusive, fraudulent, or non-compliant accounts where permitted by law and these Terms.
If an account, workspace, product, page, course, community, or file is deleted, User Content may become unavailable or irretrievable. You are responsible for exporting or preserving data you need before deletion where export is available.
15.3 Effect of cancellation or deletion
Upon cancellation or deletion, licenses granted to you may terminate, access may end, public pages may become unavailable, customer access may be affected, and data may be retained only as described in the Privacy Policy and these Terms.
16. Errors and Corrections
BlackSheet does not guarantee that the Platform will be error-free, uninterrupted, fully secure, or always available. Features may contain bugs, downtime, delays, data display errors, delivery issues, integration issues, email deliverability problems, or payment provider interruptions.
BlackSheet may correct errors, improve features, restrict access, perform maintenance, modify services, or change functionality at any time. Creators are responsible for errors in their own content, pricing, product claims, checkout copy, files, communications, and customer promises.
17. Limitations of Liability
The Platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, BlackSheet disclaims warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, error-free service, guaranteed results, or complete security.
BlackSheet is not liable for creator content, customer disputes, third-party services, payment provider actions, tax decisions, lost profits, lost revenue, lost data, business interruption, indirect damages, incidental damages, consequential damages, punitive damages, special damages, viruses, unauthorized access, or failures outside our reasonable control.
To the fullest extent permitted by law, BlackSheet's total liability for any claim will not exceed the amount you paid to BlackSheet for the service giving rise to the claim during the twelve months before the claim arose, unless applicable law requires otherwise.
You agree to indemnify, defend, and hold harmless BlackSheet, its team, officers, directors, contractors, service providers, licensors, and affiliates from claims, losses, liabilities, damages, costs, and expenses arising from your content, your use of the Platform, your products, your customers, your violation of these Terms, your violation of law, or your infringement of third-party rights.
18. Remedies for Violations
BlackSheet may seek all remedies available at law and equity for violations of these Terms. Remedies may include warnings, content removal, feature restrictions, payment holds, account suspension, account termination, IP blocking, reporting to payment providers, reporting to authorities, legal action, or other measures reasonably necessary to protect the Platform and users.
19. Communications
BlackSheet may notify you by email, account notice, in-app message, dashboard notice, website posting, support message, or other reasonable method. Notices are effective when sent, posted, or made available through the Platform, unless law requires a different method.
You are responsible for keeping your contact information current and for reviewing Platform notices and legal pages periodically.
20. Governing Law and Disputes
These Terms are governed by the laws of India, without regard to conflict of law principles, unless applicable law requires another governing law.
Subject to applicable law, disputes relating to these Terms or the Platform will be resolved by the courts with jurisdiction over Kullu, Himachal Pradesh, India. BlackSheet may also seek injunctive or equitable relief in any competent court to protect intellectual property, security, confidential information, or platform integrity.
Where legally permitted, disputes must be brought on an individual basis and not as a class, collective, representative, or private attorney-general action.
21. Consumer Notices
Some jurisdictions provide specific consumer rights, cancellation rights, refund rights, tax notices, or complaint mechanisms. Nothing in these Terms limits rights you have under mandatory consumer protection laws that cannot be waived by contract.
If a required local notice applies to your use of the Platform, BlackSheet will comply with that requirement to the extent applicable.
22. Privacy
Your use of the Platform is subject to the BlackSheet Privacy Policy, which explains how personal data is collected, used, shared, retained, and protected.
23. Entire Agreement
These Terms, together with referenced policies, plan terms, checkout terms, product-specific terms, written agreements, and the Privacy Policy, form the entire agreement between you and BlackSheet for use of the Platform.
If any provision is found unenforceable, the remaining provisions remain in effect. Failure to enforce a provision does not waive our right to enforce it later.
24. Changes to These Terms
BlackSheet may update these Terms at any time by posting a revised version or providing notice through the Platform, email, or another reasonable method. Changes apply going forward from the effective date unless law requires otherwise.
Continued use of the Platform after updated Terms become effective means you accept the updated Terms.
25. Headings
Headings are included for convenience only and do not affect the meaning or interpretation of these Terms.
26. Interpretation
Words in the singular include the plural and words in the plural include the singular where the context allows. References to "including" mean "including without limitation." If there is a conflict between these Terms and product-specific written terms, the product-specific written terms control for that product or service.
